Terms & Conditions
These Event Terms and Conditions (the “Terms”) govern registration for and participation at any WorkForce Software event (the “Event”) and are an agreement between WorkForce Software, LLC (“WFS,” “we,” “us,” or “our”) and the individual registering for the event (“you” or “your”). By registering for the Event, you agree to be bound by these Terms.
1. Registration.
To register for the Event, you must complete the Event registration process set forth by WFS and (if applicable) pay any registration Fee dictated by WFS, per Section 4 below. You must be at least 18 years of age on the first day of the Event. Event registration is subject to availability and may close earlier than the posted deadline, as determined in our sole discretion.
2. Safety, Security, and Conduct.
2.1. Screening. If you are attending the Event in-person, you understand that you and your property may be subject to a reasonable search upon entry to the Event. If you refuse to participate in these security measures, we may deny you entry.
2.2. Policies. You hereby agree to comply with any instructions, policies, or procedures established by WFS or the Event venue, if applicable, regarding your attendance at the Event (the “Policies”). Without limiting the foregoing, at all times during the Event, you agree:
(a) To act in a professional and ethical manner;
(b) To be considerate, respectful, and collaborative;
(c) To refrain from demeaning, discriminatory, or harassing behavior and speech
2.3. Dismissal. We reserve the right to cancel your registration and/or require you to leave the Event if you breach these Terms or the Policies, or we otherwise determine, in our sole discretion, that your behavior jeopardizes the safety or security of Event attendees. If we deny you entry to the Event or require you to leave the Event, you will not receive a refund of any Fees paid.
3. Your Information and Materials.
3.1. Generally. In registering for the Event, and throughout the course of the Event, you may provide to us certain personal information, including your name and contact information (“Your Information”). We handle Your Information in accordance with the WFS Privacy Notice Around Marketing set forth at https://workforcesoftware.com/privacy-marketing/ (as may be modified by WFS at any time) (the “WFS Privacy Notice”).
3.2. Sharing with Event Sponsors. We may provide Your Information to third-party sponsors of the Event (“Event Sponsors”) if you opt-in during registration to receive communications from Event Sponsors. In addition, in the event that WFS provides you with a badge during the Event and you elect to have your badge scanned by an Event Sponsor(s), you are opting-in to WFS providing Your Information to such Event Sponsor(s), regardless of whether you elected to opt-in during registration.
For the avoidance of doubt, WFS shall have no liability with regard to any information you disclose directly to Event Sponsors during the Event.
3.3. Recordings. You grant us, our affiliates, and our independent contractors the right to record, film, photograph, and capture your voice and image in any media at the Event (the “Recordings”). You agree that we may derive information from the Recordings and retain and use all resulting information, in each case in accordance with the WFS Privacy Notice.
3.4. Your Materials. You may during the Event (including as part of your registration for the event) submit or present in electronic copy or hard copy, verbally or otherwise, materials or other information (including, for example, your name and biographical information) (“Your Materials”).
3.5. License. You grant to WFS and its affiliates, agents, employees, and assigns an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, reproduce, modify, distribute, and translate, for any purpose relating to our or their business, all or any part of the Recordings and Your Materials. To the maximum extent permitted by law, you waive any moral rights you may have in the Recordings and Your Materials. You represent and warrant that (a) Your Materials are true and accurate to the best of your knowledge; (b) you have the necessary rights and permissions to grant the license in this Section 3.5; and (c) Your Materials do not violate or infringe any copyright, trademark, or other proprietary rights of any person or entity. You acknowledge that WFS exclusively owns all right, title and interest (including intellectual property rights) in and to the Recordings, all modifications and derivatives of Recordings, and all proceeds derived therefrom, and that WFS has no obligation to share any such proceeds with you.
4. Fees
Registration Fees for VISION 2025: do apply. Payment of the Fee may be made by credit card when you register, or you may elect to receive an invoice for the Fee, for which payment is due upon receipt. In any case, payment of the Fee must be made at least 7 days prior to the Event.
5. Changes and Cancellation.
5.1. Cancellation by You. If you elect not to attend the Event after you have registered, you are requested to notify WFS. If Fees are required for the Event, cancellation instructions and the Event’s refund policy will be listed on the Event’s registration webpage.
5.2. Changes and Cancellation by Us. We may cancel the Event or your Event registration at any time for any reason in our sole discretion. In addition, WFS reserves the right to make any change to the Event program at any time for any reason in its sole discretion without notice to you. If we cancel the Event in its entirety or cancel your registration for the Event, so long as you are in compliance with these Terms, we will issue you a refund of any Fee paid by you for the Event. Otherwise, we are not responsible for any damages, direct or indirect, resulting from any change to or cancellation of the Event, and you shall not be entitled to a refund of any Fee paid as a result thereof.
5.3. Survival. If you or WFS cancel your registration for the Event or WFS cancels the Event, Sections 3, 5.3, 6, 7, 8, and 9 will remain in full force and effect.
6. Assumption of Risk.
You acknowledge and agree that your attendance and participation in the Event is voluntary. To the maximum extent permitted by law, you agree that you solely assume the risks associated with attending and participating in the Event. You agree to comply at all times with any and all applicable laws and regulations.
7. Release of Claims.
To the maximum extent permitted by law, you (for yourself, your heirs, dependents, personal representatives, assigns, the entity you represent, and anyone else who might make a claim on your behalf) hereby release WFS and its affiliates, and their respective directors, officers, employees, contractors, representatives, agents, successors, and assigns, from any and all claims, demands, causes of action, suits, damages, losses, debts, liabilities, costs, and expenses (including without limitation reasonable attorneys’ fees and costs) that you may have now or in the future associated in any way with the Event, the Recordings, or Your Materials.
8. Limitations of Liability.
WE AND OUR AFFILIATES WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOST PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL. IN ANY CASE, OUR AND OUR AFFILIATES’ AGGREGATE LIABILITY RELATED TO OR ARISING OUT OFTHESE TERMS OR THE EVENT WILL NOT EXCEED THE FEE, IF ANY, PAID BY YOU FOR THE EVENT.
9. Miscellaneous.
9.1. Waiver. The failure by us to enforce any provision of these Terms will not constitute a present or future waiver of such provision nor limit our right to enforce such provision at a later time. All waivers by us must be in writing to be effective.
9.2. Severability. If any portion of these Terms is held to be invalid or unenforceable, the remaining portions of these Terms will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to effect and intent of the original portion. If such construction is not possible, the invalid or unenforceable portion will be severed from these Terms, but the rest will remain in full force and effect.
9.3. Force Majeure. We and our affiliates will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, electrical or power outages, utilities or other telecommunication failures, earthquake, storms, or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.
9.4. Governing Law. Any dispute arising under or in connection with these Terms or the Event shall be subject to the exclusive jurisdiction of the courts of Wayne County, Michigan, and shall be governed by and interpreted in accordance with Michigan law, without regard to choice of law provisions.
9.5. Modifications to these Terms. We may modify these Terms at any time by posting a revised version on the registration website. The modified terms will become effective upon posting. By attending the Event after the effective date of any modifications to these Terms, you agree to be bound by the modified terms.
9.6. Entire Agreement. These Terms are the entire agreement between you and us regarding the subject matter of these Terms. These Terms supersede all prior or contemporaneous representations, understandings, agreements, or communications between you and us, whether written or verbal, regarding the subject matter of these Terms.
